A UK Competition and Markets Authority merger inquiry is the standard opening phase of the regulator's review process, and its commencement is procedural rather than a signal on the outcome; the substantive fork comes later, between clearance, clearance with undertakings, and escalation to a deeper phase of investigation. In UK energy retail consolidation, precedent has been mixed: large supplier combinations have cleared with limited remedies, but reviews in concentrated consumer markets have also ended in prohibition or unwinding, so the remedy question rather than the clearance question has tended to be where the economics of the deal are decided. The relevant comparison set is prior big-supplier transactions in the UK retail market, where customer overlap and the share of the combined book in supply metering have been the lines the regulator has tested. For E.ON the exposure is bounded: the target is a retail book within a large, diversified utility, so the equity read has historically been modest unless remedies reach into the scale rationale of the acquisition. Worth watching is whether the inquiry is fast-tracked or referred for an in-depth probe, since that referral decision is the point at which timetable and completion risk actually reprice. As a commencement notice, this is calendar-setting rather than a verdict.
