UK CMA will not refer the proposed Paramount (PSKY)/Warner Bros (WBD) transaction to a Phase 2 investigation.
What it means
A decision not to refer to Phase 2 removes the principal UK regulatory overhang on the deal and shifts the path to completion from antitrust risk to execution risk. The CMA's Phase 1 bar is whether there is a realistic prospect of a substantial lessening of competition; clearing at this stage has historically signalled either limited UK market overlap or acceptable structural facts, and UK clearance has tended to be one of the earlier and easier hurdles in cross-border media combinations. What remains determinative is the other jurisdictions: US antitrust review and any foreign investment or sector-specific approvals have on past occasions proven the binding constraint in large media M&A, and remedies or conditions there, rather than in the UK, are what reshape deal terms or timing. Deal-spread dynamics follow the established pattern in these situations: each clearance compresses the arb spread toward terms, with residual width reflecting the outstanding approvals, financing, and any shareholder or counterparty consents. Worth watching are statements from other reviewing authorities, any reference to undertakings or conditions attached to the clearance, and updates to the expected closing timetable. The decision is de-risking rather than completion.
